1. General
Welcome to MedPrep! Our mobile applications and related services (collectively, the “Service”) are operated by MedPrep.me (“MedPrep.me,” “we,” “us,” or “our”). By accessing or using any part of the Service, you represent that you have read, understood, and agree to be bound by these Privacy Policy (“Terms and Conditions”), including any future modifications. If you do not agree to these Terms and Conditions, you are not authorized to use, access, or participate in the Service.
PLEASE NOTE THAT THESE TERMS AND CONDITIONS CONTAIN A MANDATORY ARBITRATION OF DISPUTES PROVISION THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTION LAWSUITS.
2. Description of the Service
The Service allows users, primarily medical students and doctors, to access a study platform focused on simulations and questions for medical residency exams. MedPrep.me may, in its sole discretion and at any time, update, change, suspend, or discontinue any aspect of the Service, temporarily or permanently.
3. Registration and Account
To access the features of the Service, you must register and create an account. You agree to: (i) provide accurate and complete information when registering through social login providers (such as Google or Apple); (ii) maintain the security of your account; and (iii) be fully responsible for all use of your account and for any actions that take place through it.
4. Subscriptions and Payments
(a) Freemium Model: MedPrep offers a "freemium" model, where access to basic functionalities is free, but access to advanced features, more simulations, and detailed metrics requires a paid subscription.
(b) Auto-Renewing Subscriptions: We offer subscription plans (e.g., monthly and annual) that automatically renew. Your account will be continuously charged for the subscription until you cancel it. After the initial period, your subscription will automatically renew for an equivalent period.
(c) Cancellation: If you do not wish for your subscription to auto-renew, you must cancel your subscription through the settings of the app store where the purchase was made (Apple App Store or Google Play Store) at least 24 hours before the end of the current billing period.
(d) Payment Processors: All financial transactions are processed by third parties (Apple App Store, Google Play Store). In no event will MedPrep.me be responsible for the actions or inactions of any third-party payment processor.
5. Refund Policy
Subscription purchases made through the Service are final and non-refundable. Any refund requests are governed by the terms and conditions of the platform through which you made the purchase (Apple App Store or Google Play Store). Please consult the refund policies of those stores for more information.
6. User Content Submission
(a) License to MedPrep.me: The Service may allow you to submit, post, or create content, such as questions for simulations (“User Content”). By submitting User Content, you grant MedPrep.me a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, distribute, and display such User Content in connection with the operation and improvement of the Service.
(b) Your Representations: You represent and warrant that you own all necessary rights to grant us such a license for the User Content you submit and that your content does not violate the rights of any third party.
(c) Prohibited Content: You will not upload or display any User Content that is illegal, offensive, defamatory, violates intellectual property rights, or violates our Community Guidelines. [INSERT LINK TO YOUR COMMUNITY GUIDELINES HERE]
7. MedPrep.me Intellectual Property
All content available through the Service, including the design, software, text, graphics, images, explanations of questions, performance metrics, and their selection and arrangement (“Service Content”), is the exclusive property of MedPrep.me or its licensors. No Service Content may be modified, copied, distributed, reproduced, republished, or sold in any form without our express written permission.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS". MEDPREP.ME AND ITS SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MEDPREP.ME BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO MEDPREP.ME FOR THE SERVICE IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY.
10. Privacy Policy
Use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share your information. By using the Service, you consent to the terms of our Privacy Policy.
11. Governing Law and Forum
These Terms and Conditions shall be governed by the laws of the Commonwealth of Pennsylvania, United States of America. Subject to Section 12 (Dispute Resolution & Arbitration), all judicial proceedings arising from these Terms shall be brought in the state or federal courts located in Allegheny County, Pennsylvania.
12. Dispute Resolution & Arbitration
ANY DISPUTE OR CLAIM RELATING TO THESE TERMS AND CONDITIONS OR THE SERVICE AND SEEKING MONETARY RELIEF SHALL BE RESOLVED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS. Before initiating arbitration, the interested party must send a written notice to contato@medprep.me. If the dispute is not resolved within 30 days, arbitration may be initiated according to the rules of the American Arbitration Association (“AAA”). There shall be no class or collective arbitration. If you are an individual, you may opt out of this arbitration agreement by sending an email to contato@medprep.me within 30 days of first accessing or using the Service.
